About the Role

In a larger corporation, the CLO would focus on high-level strategy while the GC manages day-to-day legal matters. At ZobeLab, you’ll do both—providing strategic legal guidance to the Founder/CEO and Board of Directors while also directly managing contracts, compliance, and intellectual property.

You will be deeply involved in contracts, partnerships, investor relations, intellectual property protection, corporate governance, and regulatory compliance, particularly in the music, entertainment, and technology sectors.

Pay
This is an equity-based, part-time position (with minimum wage compensation for a set number of hours per week) until investor funding is secured, at which point compensation will increase moving to a permanent full-time salary position. 4 year vesting & 1 year cliff vesting schedule for equity.

Key Responsibilities

Strategic Legal Leadership (CLO duties)
• Advise the Founder/CEO, Board, and c-suite on corporate governance, risk management, and strategic legal matters.
• Support investor relations and navigate startup deal structures with investors.
• Oversee legal strategy for future mergers, acquisitions, fundraising, and exit opportunities.

Operational Legal Management (GC duties)
• Draft, review, and negotiate contracts, partnership agreements, and licensing deals.
• Manage day-to-day compliance with industry regulations and laws.
• Oversee litigation management, dispute resolution, and regulatory inquiries.

Investor & Funding Legal Expertise
• Structure investment agreements (equity financing, convertible notes, SAFEs) to protect the company’s interests.
• Draft and negotiate term sheets, stock purchase agreements, and investor rights agreements.
• Ensure compliance with securities laws, regulatory filings, and disclosure requirements.
• Prepare the company for investor due diligence and address legal risk areas.

Intellectual Property Protection
• Identify, protect, and manage the company’s IP portfolio (patents, trademarks, copyrights).
• Draft and enforce IP ownership agreements with employees, contractors, and partners.
• Advise on international IP strategies and protections.

Negotiations & Long-Term Strategy
• Negotiate favorable terms with investors, partners, and vendors while balancing capital needs with control.
• Structure funding rounds to optimize valuation and minimize dilution.
• Guide legal considerations for scaling, global expansion, and potential IPO or acquisition.

Qualifications
• J.D. degree and active license to practice law in at least one U.S. jurisdiction.
• 10+ years of legal experience with significant exposure to music, entertainment, IP, and technology law.
• Proven track record in startup legal work, including investment structuring, compliance, and contracts.
• Strong knowledge of securities laws (Reg D, Reg CF, etc.) and familiarity with investor relations.
• Experience with intellectual property protection strategies in the digital age.
• Skilled in both high-level strategic thinking and hands-on execution.

Do you have experience with IP, corporate business, entertainment, music industry, technology, trademark, and patent law?

This position is designed for a motivated and experienced person with vast knowledge of all of the above areas of legality.

This is a new music technology app company. This position is contracted as an executive member with equity-only until we obtain investors to fund a full-time role/position. All candidates should have reliable internet, video-call, and telephone services for communication as this is a remote opportunity (virtual/telework).

We are currently in development for our tech app and we are now focused on getting people signed up onto our waitlist, establishing partnerships with music companies, obtaining sales, and obtaining customers for our preview educational music industry course which will give people an introduction to a portion of our music tech app.

We are looking for an executive staff member to work on a virtual / remote basis to support the company in legal matters.

As part of this job, you will be involved in document/contract creation, consulting on law, execution of legal matters, negotiations, and filing of documentation. Detail orientation, timeliness, and self-organization will be needed to be fully successful.

You should be able to work remotely and help in all legal matters. This is a equity-only position which means that the perfect candidate must be aggressive and serious about this role. This is an immediate opening. Your job will be to create documentation, initiate contact for legal matters, follow-up, and lconsult on our legal matters. Constant follow-ups, meetings, document management, negotiations, document creation, and great communication are recommended in order to ensure success in this role.

  • Must be capable of experienced legal professional services with music, entertainment, IP, and technology expertise.

  • Experience in music and technology law.

  • Have the ability to be strategic and hands-on with an in-house role for a startup.

  • Posses strong communication personality and techniques.

  • Must be a team player; results oriented.

  • Coordination with Team and company executives is critical to success.

  • Must be tenacious and success-oriented, a self-starter with high energy.

  • Strong networking, telephone, and online skills required.

  • Legal document creation, review, and revision skills

  • Strong negotiation skills

  • Experience in media relations and strategic communications

  • Combined strategic and operational legal role

  • Ability to work independently and remotely

  • Passion for the music industry

  • Experience with legal research and be able to create and manage company legal requirements

  • This is perfect for a motivated legal leader who thrives in dynamic startup environments

  • Must be knowledgeable of corporate business law in relation to a Delaware C- Corp.

  • Experience in entertainment law.

  • Have the ability to handle technology product legal matters such as music technology, music services, music app services, negotiations, endorsements, sponsorships, and music business partnerships.

  • Use excellent verbal, written and interpersonal communication skills.

  • Posses strong legal background and techniques.

  • Must be a team player; results oriented.

  • Coordination with company executives is critical to success.

  • Must be tenacious and success-oriented, a self-starter with high energy.

  • Strong telephone and confrontational skills required.
